Governing language. This Agreement is executed in English. The English text shall prevail over any translation for interpretation, enforcement, and wet-ink counterparts.
Article A — Tradornet as coordinator and guarantor platform
A.1 Coordinator role. Tradornet is a Coordinator Platform for individual customers: infrastructure to browse listings, request bulk quotes, place orders, pay, and message sellers.
A.2 Limited guarantor role. Tradornet is a limited Guarantor Platform only for payment processing and refund coordination under published policies—not for product quality or manufacturer performance, except where mandatory consumer law applies.
A.3 Not the seller. The sales contract is between you and the listing seller unless stated otherwise on checkout.
Article B — Consumer rights
Non-waivable consumer protection rules in your country of residence apply.
Article C — Wet-ink
Standard retail use requires electronic acceptance only. Wet-ink may be requested for special programmes.
Introduction and acceptance
These Individual Customer Terms of Service govern your access to and use of the Tradornet marketplace platform as a private, non-commercial buyer. By registering an account, browsing products, placing an order, or otherwise using consumer-facing features of Tradornet, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform. Tradornet may revise these Terms from time to time. Material changes will be communicated through the platform or by other reasonable means. Your continued use after notice may constitute acceptance of the updated Terms, except where applicable law requires explicit consent. These Terms apply worldwide to individual customer accounts and supplement any order-specific information displayed at checkout, on product pages, or in communications relating to your purchase.
Mandatory consumer protection rules in your country or region of residence remain fully applicable. Where these Terms conflict with non-waivable local rights, the mandatory provisions of your local law prevail to the extent required by applicable legislation.
Tradornet as platform intermediary
Tradornet operates an online marketplace that connects individual customers with independent manufacturers and authorised dealers. Tradornet is not the seller, importer, distributor, or manufacturer of products listed on the platform unless explicitly stated otherwise on a specific product or checkout page. The contract of sale for products you order is formed directly between you and the relevant seller (manufacturer or dealer), subject to that seller's terms where applicable and to mandatory consumer law.
Tradornet provides technical infrastructure, account management, payment facilitation where offered, and related support services. Product descriptions, images, specifications, availability, pricing, shipping options, warranty statements, and compliance information are supplied by sellers. Tradornet does not guarantee the accuracy or completeness of seller-provided content but may take reasonable steps to maintain marketplace quality and safety.
Your relationship with sellers
Questions about product suitability, technical details, delivery commitments, returns, or after-sales service should be directed to the relevant seller through platform messaging or support channels. Tradornet may assist with communication but is not responsible for fulfilment obligations that belong to the seller unless Tradornet expressly assumes such responsibility in writing for a specific transaction.
Eligibility
The platform and its consumer ordering features are intended only for natural persons aged eighteen years or older. By using Tradornet as an individual customer, you represent and warrant that you are at least eighteen years old and have the legal capacity to enter into binding contracts under the laws applicable to you. Tradornet does not knowingly collect data from or enter into transactions with minors. If we learn that an account belongs to a person under eighteen, we may suspend or close the account and cancel pending orders where permitted by law.
You may not use an individual customer account for commercial resale, bulk procurement on behalf of a business entity, or any purpose that requires a dealer or manufacturer account. Tradornet may request verification of age or identity and may refuse or terminate access if eligibility requirements are not met.
Account registration and security
To place orders and access certain features, you must create an account with accurate, current, and complete information, including your name, contact details, and delivery address. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You must notify Tradornet promptly if you suspect unauthorised access, credential compromise, or fraudulent use of your account.
You agree not to create multiple accounts to evade restrictions, abuse promotions, or circumvent enforcement actions. Tradornet may suspend or terminate accounts that contain false information, impersonate others, or violate these Terms. You must keep your account information up to date so that order confirmations, delivery updates, and legally required notices can reach you.
Authentication and device security
Where additional security measures such as two-factor authentication, email verification, or device checks are offered or required, you agree to cooperate with those measures. You are responsible for securing the devices and networks you use to access Tradornet.
Browsing products and placing orders
Product listings on Tradornet are invitations to treat unless clearly marked as binding offers under applicable law. Display of a product does not guarantee availability. When you submit an order, you make an offer to purchase from the relevant seller on the terms shown at checkout, including price, quantity, delivery option, and any applicable taxes or fees disclosed before payment.
Order acceptance occurs when the seller confirms the order or when the platform sends an order confirmation on the seller's behalf, whichever occurs first under the applicable process. Tradornet or the seller may refuse or cancel an order before acceptance for reasons including stock unavailability, pricing errors, suspected fraud, export or sanctions restrictions, or failure to pass identity or payment verification. If an order is cancelled after payment, applicable refund rules apply.
Order modifications and cancellations
Once an order is accepted, changes or cancellations may only be possible according to the seller's policy, order status, and mandatory consumer rights in your jurisdiction. You should review order details carefully before confirming payment.
Pricing and payment
Prices displayed to individual customers are retail prices unless otherwise indicated. Prices may be shown in different currencies depending on your settings and the seller's configuration. The payable amount, currency, and breakdown of product price, shipping, service fees, and taxes or estimated tax amounts are presented at checkout before you authorise payment.
Payment is processed through designated payment service providers. By submitting payment details, you authorise the charge for the total amount shown, subject to successful authorisation and fraud checks. Tradornet is not a bank or licensed payment institution unless explicitly stated; payment services may be provided by regulated third parties under their terms and privacy notices.
Errors and promotions
Obvious pricing or description errors may be corrected before or after order placement, and affected orders may be cancelled with a refund where appropriate. Promotional codes, discounts, or loyalty benefits are subject to stated conditions and may be withdrawn or modified in accordance with those conditions and applicable law.
Shipping, customs, and import duties
Delivery terms, estimated timelines, carriers, and shipping costs are specified at checkout or in order communications. Delivery times are estimates only and may be affected by customs processing, public holidays, remote locations, or events outside the reasonable control of the seller or carriers.
International shipments may be subject to customs clearance, import duties, value-added tax or sales tax at destination, brokerage fees, and other charges imposed by authorities in your country. Unless explicitly included in the checkout price, such charges are your responsibility. You authorise carriers or customs brokers to charge applicable duties and taxes on delivery where relevant customs procedures apply.
Export and restricted products
Certain products may not be shipped to all destinations due to export controls, sanctions, product compliance rules, or carrier restrictions. You are responsible for ensuring that your order complies with import laws in your jurisdiction. Orders that cannot lawfully be fulfilled may be cancelled and refunded in accordance with applicable rules.
Returns, refunds, and warranty
Return, exchange, and refund rights depend on the seller's published policy, the product category, the condition of goods received, and mandatory consumer protection legislation in your place of residence. Information about return windows, restocking conditions, and refund methods is provided on product pages, seller profiles, or checkout where available.
Statutory warranty or guarantee rights under local law are not excluded or limited except to the extent permitted by that law. If you receive defective, damaged, or materially non-conforming goods, you should notify the seller and Tradornet support within a reasonable time and follow the return instructions provided. Refunds, where approved, are typically processed to the original payment method within the timeframe stated by the payment provider and seller, subject to banking processing times.
Non-returnable items
Some categories such as personalised goods, sealed hygiene products after opening, or perishable items may be non-returnable under seller policy or law unless defective. You should review applicable restrictions before ordering.
Prohibited conduct
You agree not to misuse the platform. Without limitation, you must not engage in the following conduct:
- Using Tradornet for unlawful purposes, fraud, money laundering, or sanctions evasion
- Providing false identity, payment, or delivery information
- Attempting to interfere with platform security, scrape data without authorisation, or overload systems
- Posting or transmitting harmful, abusive, defamatory, or infringing content through reviews or messages
- Circumventing seller territorial restrictions or purchasing for unauthorised commercial resale through a consumer account
- Manipulating reviews, ratings, or pricing through coordinated or deceptive behaviour
- Reverse engineering, copying, or exploiting platform software except as permitted by law
Tradornet may investigate suspected violations, cooperate with authorities, suspend accounts, remove content, and cancel orders linked to prohibited conduct.
Intellectual property
The Tradornet name, logos, platform design, software, databases, and related materials are protected by intellectual property laws and remain the property of Tradornet or its licensors. These Terms do not grant you any ownership rights in platform materials. You may use the platform only for personal, lawful shopping purposes in accordance with these Terms.
Product names, trademarks, images, and descriptions belong to their respective owners. If you believe content on the platform infringes your intellectual property rights, you may submit a notice through the contact channels identified in the contact section. Tradornet may remove or disable access to disputed content where appropriate while reviewing valid claims.
Disclaimers
To the fullest extent permitted by applicable law, the platform and its content are provided on an as-is and as-available basis. Tradornet does not warrant uninterrupted or error-free operation, that defects will be corrected, or that the platform is free of viruses or harmful components. Product suitability for a particular purpose is not guaranteed by Tradornet; you should rely on seller specifications and professional advice where necessary.
Tradornet does not provide legal, tax, customs, or financial advice. Information about import charges, compliance labels, or regulatory approvals is provided for convenience and may require independent verification.
Limitation of liability
To the maximum extent permitted by applicable law, Tradornet and its affiliates, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from or related to your use of the platform or any transaction with a seller.
Subject to mandatory consumer law, Tradornet's aggregate liability to you for claims arising out of or relating to these Terms or the platform services provided directly by Tradornet shall not exceed the greater of the platform service fees you paid to Tradornet in the twelve months preceding the claim or one hundred euros, except where liability cannot be limited under non-waivable local rules.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Indemnity
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Tradornet and its affiliates from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the platform, violation of law or third-party rights, or inaccurate information you provide. This indemnity does not apply to the extent a claim results from Tradornet's own intentional misconduct or gross negligence where such limitation is not permitted by law.
Dispute resolution
Tradornet encourages amicable resolution of disputes. If you have a concern about an order, contact the seller and Tradornet support through the platform so that issues can be addressed promptly. Many consumer disputes relating to product quality, delivery, or refunds are between you and the seller; Tradornet may provide facilitation tools but is not a party to the sales contract unless expressly stated.
Where applicable law provides access to alternative dispute resolution or online dispute resolution platforms for consumers, you may use those mechanisms in addition to any rights you have before courts or consumer authorities. Nothing in these Terms prevents you from contacting competent consumer protection agencies in your jurisdiction.
Governing law and mandatory local rules
These Terms are governed by the laws specified by Tradornet in your account settings or checkout jurisdiction, excluding conflict-of-law rules that would apply another country's laws, except where mandatory consumer protection rules in your country of habitual residence require otherwise.
If you are a consumer residing in the European Union, United Kingdom, or another jurisdiction with mandatory consumer protections, you benefit from the protections afforded by the laws of your country of residence that cannot be waived by contract. Nothing in these Terms deprives you of the right to bring proceedings in the courts of your habitual residence where such right is guaranteed by applicable law.
Changes to these Terms
Tradornet may update these Terms to reflect legal, technical, or business changes. The effective date of the current version is shown on the platform. When changes materially affect your rights, Tradornet will provide notice by reasonable means, such as email, in-account notification, or a prominent platform message. If you do not agree to revised Terms, you should stop using the platform and may close your account, subject to completion of outstanding orders and legal retention obligations.
