Governing language. This Agreement is executed in English. The English text shall prevail over any translation for interpretation, enforcement, and wet-ink counterparts.
Article A — Parties and platform nature
A.1 Platform operator. Tradornet (“Platform”, “we”, “us”) operates a cross-border business-to-business marketplace and coordination infrastructure connecting independent manufacturers with authorised dealers and, where enabled, individual retail buyers.
A.2 Manufacturer (“you”). The legal entity registering as a supplier/manufacturer on the Platform.
A.3 Intermediary role. Tradornet is an intermediary technology and coordination platform. Unless explicitly stated on a specific checkout or order record, Tradornet is not the seller, importer, distributor, or manufacturer of record for products you list. You remain the seller of record for your listings and fulfilment obligations.
Article B — Coordinator services (manufacturer)
Tradornet may coordinate, without assuming seller liability: catalogue presentation; dealer and retail buyer matching; quote and order routing; payment facilitation through licensed partners; messaging and dispute coordination; compliance screening and audit support. Coordination does not create a partnership, agency, joint venture, or employment relationship.
Article C — International application
These Terms apply to cross-border use. Mandatory laws of your country and the buyer’s delivery country prevail where non-waivable. Disputes shall first be addressed through Platform support; failing amicable resolution within thirty (30) days, competent courts or agreed arbitration may apply.
Article D — Electronic acceptance and wet-ink counterpart
D.1 Click-wrap. Registration constitutes electronic acceptance of this Agreement and linked policies.
D.2 Wet-ink counterpart. Tradornet may require a wet-ink signed counterpart for full programme activation or certain territories. Download PDF, sign by an authorised signatory, and upload via your account or send to the legal contact on the Platform.
Agreement and scope
These Manufacturer Terms of Service govern your access to and use of the Tradornet marketplace as a manufacturer, supplier, or authorised seller of record. By registering a manufacturer account, submitting verification documents, listing products, accepting orders, or receiving payouts, you agree to these terms, the Tradornet Privacy Policy, applicable product and trade policies, and any order-specific or programme-specific addenda displayed in your seller panel. Tradornet provides a technology and commercial platform connecting manufacturers with dealers and end customers worldwide. You remain the seller of record for your listings unless a separate written agreement states otherwise. If any provision conflicts with mandatory law in your jurisdiction, that mandatory law prevails to the extent required.
Seller role and eligibility
Who may sell
Only legally established businesses that manufacture, assemble, or are the authorised brand owner or exclusive distributor for the products they list may open a manufacturer account. You must have authority to bind your company, maintain valid commercial registration, and operate in compliance with applicable manufacturing, environmental, labour, and tax laws. Personal consumer accounts may not be used for manufacturer activity.
Eligibility standards
- You must be at least 18 years old and act on behalf of a registered legal entity.
- You must not be subject to sanctions, export restrictions, or platform bans that prohibit marketplace participation.
- You must accurately represent your production capacity, lead times, and authorised sales territories.
- Accounts linked to fraud, counterfeit goods, or repeated policy violations may be refused or suspended.
Onboarding and verification
Before or after listing, Tradornet may require identity verification, beneficial ownership disclosure, tax registration, bank account confirmation, factory or warehouse addresses, quality certificates, and samples. You agree to provide complete, current, and truthful information and to update it within five business days of any material change. Tradornet may use third-party verification providers and may approve, conditionally approve, or reject applications at its discretion. Failure to complete verification may limit listing visibility, payout release, or account access. You are responsible for the accuracy of documents you submit and for notifying Tradornet of changes to signatories, banking details, or corporate structure.
Listing compliance and accuracy
Every listing must describe the product truthfully, including model numbers, specifications, materials, dimensions, compatibility, condition, packaging, warranty terms, and country of origin. Images must depict the actual item offered. Pricing must state the currency, unit of measure, minimum order quantities, and any applicable taxes or fees where required by law. You must not use misleading comparisons, hidden charges, or bait-and-switch tactics. Listings must comply with Tradornet category rules, restricted product policies, and the legal requirements of each market where you offer shipment. You are solely responsible for maintaining accurate stock levels and for promptly delisting or updating products that are discontinued, restricted, or unavailable.
Product safety, certifications, and recalls
You warrant that all products meet applicable safety, electrical, chemical, radio, medical, food-contact, toy, and consumer protection standards in destination countries. You must obtain, maintain, and upon request provide test reports, declarations of conformity, CE or UKCA markings, FCC or ISED approvals, RoHS and REACH documentation, and other certifications required for lawful sale. If a product is subject to recall, safety notice, or regulatory action, you must immediately pause affected listings, notify Tradornet, cooperate with removal instructions, and implement corrective actions at your expense. You indemnify Tradornet against claims arising from defective, non-conforming, or uncertified products you supply.
Export controls and trade compliance
You are responsible for compliance with export controls, import restrictions, customs valuation, sanctions programmes, dual-use regulations, and denied-party screening applicable to your products, components, software, and technology. You must not list or ship items to prohibited destinations, entities, or end uses. You will classify products correctly for customs and provide accurate commercial invoices, packing lists, certificates of origin, and export licences where required. Tradornet may block transactions or territories based on compliance risk. You agree to cooperate with audits and to cease sales where legal restrictions apply.
Fulfilment SLA and shipping standards
When you accept or confirm an order, you must ship within the lead time stated in the listing or agreed in the order unless force majeure or a permitted delay notice applies. You must use reputable carriers, provide valid tracking where available, pack goods to prevent damage, and include required documentation for cross-border delivery. Partial shipments require buyer consent unless your listing explicitly allows split fulfilment. Repeated late shipments, lost packages attributable to inadequate packing, or failure to meet published service levels may result in penalties, ranking reduction, or suspension. You remain responsible for goods until delivery to the agreed incoterms point unless otherwise stated in writing.
Returns, RMA handling, and customer remedies
You must honour applicable statutory and platform return policies for defective, misdescribed, or non-conforming goods. You will provide clear RMA procedures, respond to return requests within the timeframe shown in your seller settings, and issue refunds, replacements, or repairs as required. Return shipping costs follow applicable law and your published policy, provided such policy is not less favourable than mandatory consumer rights. You must not require unreasonable restocking fees for warranty or compliance failures. Tradornet may facilitate returns and may charge back amounts from your payout balance when you fail to resolve eligible claims.
Chargebacks and payment disputes
Payments processed through Tradornet or its payment partners may be subject to chargebacks, reversals, or dispute holds initiated by buyers, issuers, or payment schemes. You agree to provide evidence within requested deadlines and to accept final decisions of payment processors where permitted by law. Unresolved chargebacks, fraud indicators, or excessive dispute rates may lead to reserve holds, payout delays, or account review. You are responsible for direct payment disputes relating to your products and fulfilment, even when Tradornet assists with mediation.
Commission, fees, and payouts
Tradornet charges commissions, listing fees, payment processing fees, or programme fees as displayed in your seller agreement, fee schedule, or checkout summary. Fees may vary by category, region, or volume tier. Payouts are made to your verified bank account on the cycle shown in your panel, subject to minimum thresholds, tax withholding where required, and reserve policies for risk management. You are responsible for all taxes on your sales, including VAT, GST, sales tax, and customs duties unless explicitly collected and remitted by Tradornet under a stated programme. Fee disputes must be raised within sixty days of the statement date with supporting records.
Content licence to Tradornet
You retain ownership of product content you upload, including text, images, videos, manuals, and trademarks you lawfully control. You grant Tradornet a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, translate, display, and distribute such content on the platform, in marketing materials, search indexes, and partner channels, solely to operate, promote, and improve the marketplace during your account term and a reasonable wind-down period after delisting. You represent that your content does not infringe third-party rights and that you have obtained model, photographer, and contributor releases where needed. Tradornet may remove content that violates policy or receives valid takedown notices.
Prohibited products and conduct
- Counterfeit, replica, or unauthorised branded goods.
- Weapons, explosives, controlled substances, and items requiring licences you do not hold.
- Stolen goods, embargoed products, or items violating sanctions.
- Products promoting illegal activity, hate, or serious harm.
- Manipulative reviews, shill bidding, or interference with other sellers.
- Circumventing Tradornet checkout, fees, or buyer protection systems.
Tradornet may remove listings, cancel orders, or terminate accounts for prohibited conduct without prior notice where risk is immediate.
Intellectual property and brand protection
Tradornet respects intellectual property rights and operates notice-and-takedown procedures. You must not list products that infringe patents, trademarks, copyrights, or trade dress. If you believe another user misuses your brand, submit a complete notice through the IP reporting channel. Repeated infringement may result in permanent removal. You agree to cooperate with brand owner enquiries and to maintain authorisation letters from rights holders where you sell licensed goods. You will defend and indemnify Tradornet against IP claims arising from your listings and supplied products.
Audits and compliance reviews
Tradornet may audit listing accuracy, order fulfilment metrics, certification validity, and policy compliance remotely or on-site with reasonable notice where practicable. You will provide records, access to relevant personnel, and corrective action plans within requested timeframes. Audits triggered by safety complaints, regulatory inquiries, or fraud investigations may occur without advance notice. Failure to cooperate may result in suspension pending resolution.
Suspension and termination
Either party may terminate the seller relationship in accordance with the notice period in your programme agreement, or immediately for material breach, legal prohibition, insolvency, or repeated violations. Upon termination, you must fulfil outstanding orders, honour returns, and settle fees and chargebacks. Tradornet may delist products, withhold payouts to cover liabilities, and retain records as required by law. Sections on liability, indemnity, IP, and dispute resolution survive termination.
Limitation of liability
To the maximum extent permitted by law, Tradornet is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business interruption arising from your use of the platform. Tradornet total aggregate liability for claims relating to your manufacturer account in any twelve-month period is limited to the greater of fees paid by you to Tradornet in that period or one hundred euros, except where liability cannot be limited by mandatory law. You remain liable to buyers and third parties as the seller of record.
Governing law and mandatory local rights
These terms are governed by the law specified in your master seller agreement or, if none, by the laws applicable at Tradornet principal place of business, excluding conflict-of-law rules. Nothing in these terms limits non-waivable consumer, employment, data protection, or commercial rights under the mandatory laws of the country where you are established or where products are sold. Disputes should first be addressed through Tradornet seller support; where required, courts or arbitration forums with competent jurisdiction may be used as stated in your agreement.
Changes to these terms
Tradornet may update these terms to reflect legal, product, or operational changes. Material updates will be notified via the seller panel, email, or platform notice at least fifteen days before they take effect where required by law. Continued use after the effective date constitutes acceptance unless you terminate your account before that date. If you do not agree, you must stop listing and complete pending obligations.
